Furnish Agent with immediate written notice in the event that (i) any Borrower or any member of the Controlled Group knows or has reason to know that a Termination Event has occurred, together with a written statement describing such Termination Event and the action, if any, which such Borrower or any member of the Controlled Group has taken, is taking, or proposes to take with respect thereto and, when known, any action taken or threatened by the Internal Revenue Service, Department of Labor or PBGC with respect thereto, (ii) any Borrower or any member of the Controlled Group knows or has reason to know that a prohibited transaction (as defined in Sections 406 of ERISA and 4975 of the Code) has occurred together with a written statement describing such transaction and the action which such Borrower or any member of the Controlled Group has taken, is taking or proposes to take with respect thereto, (iii) a funding waiver request has been filed with respect to any Plan together with all communications received by any Borrower or any member of the Controlled Group with respect to such request, (iv) any increase in the benefits of any existing Plan or the establishment of any new Plan or the commencement of contributions to any Plan to which any Borrower or any member of the Controlled Group was not previously contributing shall occur, (v) any Borrower or any member of the Controlled Group shall receive from the PBGC a notice of intention to terminate a Plan or to have a trustee appointed to administer a Plan, together with copies of each such notice, (vi) any Borrower or any member of the Controlled Group shall receive any favorable or unfavorable determination letter from the Internal Revenue Service regarding the qualification of a Plan under Section 401(a) of the Code, together with copies of each such letter; (vii) any Borrower or any member of the Controlled Group shall receive a notice regarding the imposition of withdrawal liability, together with copies of each such notice; (viii) any Borrower or any member of the Controlled Group shall fail to make a required installment or any other required payment under Section 412 of the Code on or before the due date for such installment or payment; (ix) any Borrower or any member of the Controlled Group knows that (a) a Multiemployer Plan has been terminated, (b) the administrator or plan sponsor of a Multiemployer Plan intends to terminate a Multiemployer Plan, or (c) the PBGC has instituted or will institute proceedings under Section 4042 of ERISA to terminate a Multiemployer Plan.

Promptly following any request therefor, the Loan Parties shall deliver to the Agent copies of any documents or notices described in Sections 101(j), (k) or (l) of ERISA or any information requested under Section 4221(e) of ERISA that any Loan Party or any member of the Controlled Group may request with respect to any Pension Benefit Plan or Multiemployer Plan, as applicable; provided, that, if any Loan Party or any member of the Controlled Group has not requested such documents or notices from the administrator or sponsor of the applicable Pension Benefit Plan or Multiemployer Plan, then the applicable Loan Party or the applicable member of the Controlled Group shall, upon reasonable request by Agent, promptly make a request for such documents or notices from such administrator or sponsor and shall provide copies of such documents and notices to Agent promptly after receipt thereof.

Furnish Agent Lenders with immediate written notice in the event that any of the following, together with any other such events or conditions, could reasonably be expected to have a Material Adverse Effect: (i) any Borrower Loan Party or any member of the Controlled Group knows or has reason to know that a Termination Event has occurred, together with a written statement describing such Termination Event and the action, if any, which such Borrower Loan Party or any member of the Controlled Group has taken, is taking, or proposes to take with respect thereto and, when known, any action taken or threatened by the Internal Revenue Service, Department of Labor or PBGC with respect thereto, (ii) any Borrower Loan Party or any member of the Controlled Group knows or has reason to know that a prohibited transaction (as defined in Sections Section 406 of ERISA and or 4975 of the Code) has occurred together with a written statement describing such transaction and the action which such Borrower Loan Party or any member of the Controlled Group has taken, is taking or proposes to take with respect thereto, (iii) a funding waiver request has been filed with respect to any Pension Benefit Plan together with all communications received by any Borrower Loan Party or any member of the Controlled Group with respect to such request, (iv) any increase in the benefits of any existing Pension Benefit Plan or Multiemployer Plan or the establishment of any new Pension Benefit Plan or Multiemployer Plan or the commencement of contributions to any Pension Benefit Plan or Multiemployer Plan to which any Borrower Loan Party or any member of the Controlled Group was not previously contributing shall occur, (v) any Borrower Loan Party or any member of the Controlled Group shall receive from the PBGC a notice of intention to terminate a Pension Benefit Plan or to have a trustee appointed to administer a Pension Benefit Plan, together with copies of each such notice, (vi) any Borrower Loan Party or any member of the Controlled Group shall receive any favorable or unfavorable determination letter from the Internal Revenue Service regarding the qualification of a Plan under Section 401(a) of the Code, together with copies of each such letter; (vii) any Borrower Loan Party or any member of the Controlled Group shall receive a notice regarding the anticipated imposition of withdrawal liability, together with copies of each such notice; (viii) any Borrower Loan Party or any member of the Controlled Group shall fail to make a required installment under a Pension Benefit Plan or Multiemployer Plan or any other required payment under Section 412 of the Code or ERISA on or before the due date for such installment or payment; or (ix) any Borrower Loan Party or any member of the Controlled Group knows that (a) a Multiemployer Plan has been terminated, (b) the administrator or plan sponsor of a Multiemployer Plan intends to terminate a Multiemployer Plan, or (c) the PBGC has instituted or will institute proceedings under Section 4042 of ERISA to terminate a Multiemployer PlanPlan or (d) a Multiemployer Plan is subject to Section 432 of the Code or Section 305 of ERISA.

Promptly following an request therefor, the Credit Parties shall deliver to the Agent copies of any documents or notices described in Sections 101(j), (k) or (l) of ERISA that any Credit Party or any member of the Controlled Group may request with respect to any Pension Benefit Plan or Multiemployer Plan, as applicable; provided, that, if any Credit Party or any member of the Controlled Group has not requested such documents or notices from the administrator or sponsor of the applicable Pension Benefit Plan or Multiemployer Plan, then the applicable Credit Party or the applicable member of the Controlled Group shall, upon request by Agent, promptly make a request for such documents or notices from such administrator or sponsor and shall provide copies of such documents and notices to Agent promptly after receipt thereof.

Furnish Agent with immediate prompt written notice in the event that any Responsible Officer obtains actual knowledge that (ia) any Borrower Credit Party or any member of the Controlled Group its Subsidiaries knows or has reason to know that a Termination Event has occurred, together with a written statement describing such Termination Event and the action, if any, which such Borrower Credit Party or any member of the Controlled Group has taken, is taking, or proposes to take with respect thereto and, when known, any action taken or threatened by the Internal Revenue Service, Department of Labor or PBGC with respect thereto, (iib) any Borrower Credit Party or any member of the Controlled Group knows or has reason to know that a nonexempt prohibited transaction (as defined in Sections 406 of ERISA and 4975 of the Code) ), which could reasonably be expected to result in a Material Adverse Effect, has occurred with respect to any Plan, together with a written statement describing such transaction and the action which such Borrower Credit Party or any member of the Controlled Group has taken, is taking or proposes to take with respect thereto, (iiic) a funding waiver request has been filed with respect to any Pension Benefit Plan together with all written communications received by any Borrower Credit Party or any member of the Controlled Group from the Internal Revenue Service or other Governmental Authority with respect to such request, (ivd) any increase in the benefits of any existing Plan or the establishment of any new Plan or the commencement of contributions to any Plan to which any Borrower Credit Party or any member of the Controlled Group was not previously contributing shall occur, in any such case, which could reasonably be expected to result in a Material Adverse Effect, (ve) any Borrower Credit Party or any member of the Controlled Group shall receive from the PBGC a notice of intention to terminate a Pension Benefit Plan or to have a trustee appointed to administer a Pension Benefit Plan, together with copies of each such notice, (vif) any Borrower Credit Party or any member of the Controlled Group its Subsidiaries shall receive any favorable or unfavorable determination letter written notice of plan disqualification from the Internal Revenue Service regarding the qualification of with respect to a Plan under that is sponsored, maintained or contributed to by a Credit Party or any of its Subsidiaries and that is covered by Section 401(a) of the Code, together with copies of each such letter; (vii) any Borrower Code or any member of the Controlled Group shall receive a notice regarding the imposition of withdrawal liabilityliability under any Multiemployer Plan, together with copies of each such notice; , (viiig) any Borrower Credit Party or any member of the Controlled Group shall fail to make a required installment or any other required payment under Section 412 of the Code or ERISA with respect to any Pension Benefit Plan or Multiemployer Plan on or before the due date for such installment or payment; , which failure could reasonably be expected to have a Material Adverse Effect or (ixh) any Borrower Credit Party or any member of the Controlled Group knows that (ai) a Multiemployer Plan has been terminated, (bii) the administrator or plan sponsor of a Multiemployer Plan intends to terminate a Multiemployer Plan, or (ciii) the PBGC has instituted or will institute proceedings under Section 4042 of ERISA to terminate a Multiemployer PlanPlan or (iv) a Multiemployer Plan is subject to Section 432 of the Code or Section 305 of ERISA. Promptly after any Credit Party or any Subsidiary or any Affiliate knows of the occurrence of (i) any violation or asserted violation of any Applicable Law (including any applicable provincial pension standards legislation) in any material respect with respect to any Canadian Pension Plan or; (ii) any Canadian Pension Termination Event or any action of FSRA or another Governmental Body that could lead to a Canadian Pension Termination Event, or (iii) any Lien has arisen, xxxxxx or inchoate, in connection with any Canadian Pension Plan (save for contribution amounts not yet due); then, in each case, the applicable Credit Party will deliver to Agent a certificate of a senior officer of the applicable Credit Party setting forth details as to such occurrence and the action, if any, that such Credit Party, such Subsidiary or Affiliate is required or proposes to take, together with any notices (required, proposed or otherwise) given to or filed with or by such Canadian Credit Party, such Subsidiary, such Affiliate, FSRA, a Canadian Pension Plan participant (other than notices relating to an individual participant's benefits) or the Canadian Pension Plan administrator with respect thereto.

Promptly after any Loan Party knows or has reason to know of the occurrence of (i) the formation of any Canadian Pension Plan governed by the law of any jurisdiction in Canada other than the laws of the Province of Québec; (ii) any violation or asserted violation of any Applicable Law (including any applicable provincial pension benefits legislation) in any material respect with respect to any Canadian Pension Plan; or (iii) any Canadian Pension Termination Event, the applicable Canadian Loan Party will deliver to the Agent a certificate of a senior officer of the applicable Canadian Loan Party setting forth details as to such occurrence and the action, if any, that such Canadian Loan Party is required or proposes to take, together with any notices (required, proposed or otherwise) given to or filed with or by such Canadian Loan Party, any applicable Governmental Body, a Canadian Pension Plan participant (other than notices relating to an individual participant’s benefits) or the Canadian Pension Plan administrator with respect thereto. Any Canadian Pension Plan Termination Event with respect to any Canadian Pension Plan shall have occurred, and, thirty (30) days after notice thereof shall have been given to any Loan Party by the Agent, (A) such Canadian Pension Plan Termination Event (if correctable) shall not have been corrected, and (B) such Canadian Pension Plan Termination Event has resulted or would reasonably be expected to result in a Material Adverse Effect.

With respect to the Borrowers and each Subsidiary, the events described in (i) through (ix) above required prompt written notice and, with respect to any other member of the Controlled Group, prompt written notice will be required if any such event results, or could reasonably be expected to result, in liability to any Borrower or any of their Subsidiaries.
