Common use of ESA-Related Tax Benefit Payments Clause in Contracts

ESA-Related Tax Benefit Payments. After the date hereof, and in consideration for Regal’s agreement to use a Theatre Access Fee calculation and payment mechanism (as described in Section 2.05(b)) in connection with LLC’s utilization of the Theatres on and after the date of this Agreement, LLC will also pay any ESA-Related Tax Benefit Payments to Regal, pursuant to the terms of the Tax Receivable Agreement.
