Common use of Escrow Agent Certificate Clause in Contracts

Escrow Agent Certificate. A written certificate of the Escrow Agent, executed by a duly authorized representative of the Escrow Agent, dated the date of the Closing, to the effect that the Escrow Agent is validly existing under the laws of the State, and has full power to enter into, accept and perform its duties under the Escrow Agreement;
