Escrow; Escrow Holder. On the Effective Date, an escrow (the "Escrow") shall be opened with Chicago Title Company, 388 Xxxxxx Xxxxxx, Xxxxx 0000, Xxx Xxxxxxxxx, XX 00000 Xxxention: Pat Xxxxxxxx, 005/788-0871 ("Escrow Holder"). (The Effective Date is also referred to herein as the "Opening of Escrow.")

The terms and conditions set forth in this Agreement shall constitute both an agreement between Seller and Buyer and escrow instructions for Escrow Holder. Seller and Buyer shall promptly execute and deliver to Escrow Holder any separate or additional escrow instructions requested by Escrow Holder which are consistent with the terms of this Agreement. Any separate or additional instructions shall not modify or amend the provisions of this Agreement unless otherwise expressly set forth by mutual consent of Buyer and Seller. As used in this Agreement, "Closing" means the recordation of the "Deed" (as defined below) in the Official Records of Los Angeles County, California.

Escrow Holder shall immediately, upon receipt, duly execute this Agreement. The date of the opening of Escrow is herein called the "Effective Date" and Escrow Holder shall promptly advise Seller and Buyer of the Effective Date.
