Common use of Escrow Security Interest Perfection Clause in Contracts

Escrow Security Interest Perfection. The Issuers will take all actions necessary to maintain a first-priority security interest in the funds held in the Escrow Account and to perfect a first- priority security interest in any funds held in the Escrow Account acquired after the Closing Date, in each case as and to the extent required by the Escrow Agreement and the Indenture.

Escrow Security Interest Perfection. The Issuers Escrow Issuer will (i) complete or deliver to the Escrow Agent on the Closing Date all filings and take all other similar actions required in connection with the perfection of first-priority security interests in the Escrow Funds as and to the extent required by the Escrow Agreement and the Indenture and (ii) take all actions necessary to maintain a such security interests and to perfect first-priority security interest in the funds held in the Escrow Account and to perfect a first- priority security interest interests in any funds held in the Escrow Account Funds acquired after the Closing Date, in each case as and to the extent required by the Escrow Agreement and the Indenture.

Escrow Security Interest Perfection. The Issuers will (i) complete on the Closing Date all filings and take all other similar actions necessary to maintain a required in connection with the perfection of the first-priority security interest in the funds held in Escrow Account as and to the extent required by the Escrow Account and Security Agreement and (ii) take all actions necessary to perfect a first- maintain such first-priority security interest in any funds held in the Escrow Account acquired after the Closing Dateinterest, in each case as and to the extent required by the Escrow Agreement and the IndentureSecurity Agreement.
