ESCROW STOCK CERTIFICATES. The Escrow Agent may, with the prior written consent of the Indemnitor Representative, at any time request Acquiror to issue new certificates representing the Escrow Shares in such denominations as may be necessary or appropriate in carrying out the Escrow Agent's obligations under this Agreement.
