ESCROW TO SECURE SEYMOUR COMPANIES' OBLIGATIONS. As noted in Section 10.2 hereof, in the event that HPII is entitled to indemnification pursuant to this Section 10, it shall be entitled to make a claim to be satisfied by the Escrowed Shares held in the Escrow pursuant to the Escrow Agreement as set forth in Exhibit 2.8(c) to be attached hereto. The indemnification obligation, pursuant to this Section 10 shall be limited to the assets held in the Escrow.
