Establish Procedures for Complaints Regarding Financial Statements or Accounting Policies. The Committee is to establish and oversee procedures for (A) the receipt, retention, and treatment of complaints received by the Company regarding accounting, internal accounting controls, or auditing matters; and (B) the confidential, anonymous submission by employees of the Company of concerns regarding questionable accounting or auditing matters as required by Section 301 of the Xxxxxxxx-Xxxxx Act of 2002 and the rules and listing requirements promulgated thereunder by the SEC and the NYSE.
