Establishment of Facility and Funding Initial Loan. It shall be a condition precedent of Lenders' obligation to establish the Facility and to fund the initial Loan that each of the following conditions precedent be satisfied in full (as determined by the Agent and Requisite Lenders in their discretion, which discretion shall be exercised in good faith), unless specifically waived in writing by the Agent and the Requisite Lenders at or prior to closing and funding of the first Loan:
