Establishment of Obligation to Participate. If, at any time prior to the consummation of an Initial Public Offering, Partners who own more than 50% of the then outstanding Partnership Securities (collectively, the “Selling Partners”) desire to effect a Drag-Along Transaction, then the Selling Partners shall have the right and option to require that the Holder and the Holder shall be required to Transfer all or any portion, at the option of the Selling Partners, of the Subject Units owned by the Holder to such Third Party Purchaser in such proposed Drag-Along Transaction, in any case in accordance with the terms of this Article V.
