ESTABLISHMENT OF THE PLAN AND TRUST. 1.01 ESB Financial Corporation (the “Corporation”) hereby amends and restates the Txxx Xxxx Bancorp, Inc. Recognition and Retention Plan for Officers (the “Plan”) and Trust (the “Trust”) upon the terms and conditions hereinafter stated in this amended and restated Recognition and Retention Plan for Officers and Trust Agreement (the “Agreement”), with this amendment and restatement effective as of November 21, 2006.
