Estimated Requirements Clause Samples

The Estimated Requirements clause defines the anticipated quantity or scope of goods or services that a buyer expects to purchase from a supplier during a contract period. Typically, it provides a non-binding estimate to help both parties plan for production, inventory, or resource allocation, but does not guarantee that the buyer will purchase the exact stated amount. This clause helps manage expectations and facilitates operational planning, while clarifying that actual orders may vary, thus reducing the risk of disputes over minimum purchase obligations.
Estimated Requirements. The University in no way obligates itself to purchase the full quantities indicated, but the entire amount of any discount offered must be allowed whether or not the purchases are more or less than the full quantities indicated. The University’s requirements may be greater than or less than the quantities shown, and the Vendor shall be obligated to fulfill all requirements as shown on the purchase orders whose mailing dates fall within the term of the contract.
