Estoppel and Consent Agreements. One or more estoppel and consent agreements in favor of Administrative Agent by each party to any real property lease with any Borrower and/or any other Material Contract with any Borrower consenting to the encumbrance of such property and/or the collateral assignment of the rights with respect thereto in favor of Administrative Agent and granting to Administrative Agent certain other rights pursuant thereto.
