Common use of Estoppel Clause in Contracts

Estoppel. To induce Lenders to enter into this Amendment and to continue to make advances to Borrowers under the Loan Agreement, each Obligor hereby acknowledges and agrees that, as of the date hereof, there exists no right of offset, defense, counterclaim or objection in favor of any Obligor as against Agent or any Lender with respect to the Obligations.

Estoppel. To induce Lenders to enter into this Amendment and to continue to make advances to Borrowers under the Loan Agreement, each Obligor Borrower hereby acknowledges and agrees that, as of the date hereof, there exists no right of offset, defense, counterclaim or objection in favor of any Obligor such Borrower as against Agent or any Lender with respect to the Obligations.

To induce Lenders Agent and Lender Group to enter into this Amendment and to continue to make advances to Borrowers Borrower under the Loan Credit Agreement, each Obligor Borrower hereby acknowledges and agrees that, as of the date hereof, there exists no right of offset, defense, counterclaim or objection in favor of any Obligor Borrower as against Agent or any Lender with respect to the Obligations.

To induce Lenders to enter into this Amendment and to continue to make advances to Borrowers Borrower under the Loan Agreement, each Obligor Borrower hereby acknowledges and agrees that, as of the date hereof, there exists no right of offset, defense, counterclaim or objection in favor of any Obligor Borrower as against Administrative and Collateral Agent, either Co-Lead Arranger, either Co-Syndication Agent, either Documentation Agent or any Lender with respect to the Obligations.

To induce Lenders Agent and Co-Lender to enter into this Amendment and to continue to make advances to Borrowers Borrower under the Loan Agreement, each Obligor Borrower hereby acknowledges and agrees that, as of the date hereof, there exists no right of offset, defense, counterclaim or objection in favor of any Obligor Borrower as against Agent or any Co-Lender with respect to the Obligations.

Estoppel. To induce Agent and the Lenders to enter into this Amendment and to continue to make advances to Borrowers under the Loan Credit Agreement, each Obligor Borrower hereby acknowledges and agrees that, as of the date hereof, there exists no right of offset, defense, counterclaim or objection in favor of any Obligor Borrower as against Agent any member of the Lender Group or any Lender Bank Product Provider with respect to the Obligations.
