The provisions of the "Operating Procedures of the Euroclear System" and "Terms and Conditions Governing Use of Euroclear" and the "General Terms and Conditions of Cedel BankCedelBank" and "Customer Handbook" of Cedel Bank shall be applicable to transfers of beneficial interests in Global Notes sold pursuant to the exemption to the registration requirements of the Securities Act afforded by Regulation S Temporary Global Note and the Regulation S Permanent Global Notes that are held by Participants through Euroclear or Cedel BankCedel.

Euroclear and Cedel Procedures Applicable. Euroclear and Cedel Bankare not agents of the Trustee, and the Trustee accepts no responsibility for the acts or omissions of Euroclear or Cedel.

The provisions of the "Operating Procedures of the Euroclear System" and "Terms and Conditions Governing Use of Euroclear" and the "General Terms and Conditions of Cedel Bank" and "Customer Handbook" of Cedel Bank shall be applicable to transfers of beneficial interests in the Regulation S Temporary Global Note Debentures and the Regulation S Permanent Global Notes Debentures that are held by Participants through Euroclear or Cedel Bank.
