Common use of Event of Default by UnitedLayer Clause in Contracts

Event of Default by UnitedLayer. The occurrence of any one or more of the following shall constitute an “Event of Default by UnitedLayer” the Agreement: the failure by UnitedLayer to perform any material obligation or covenant set forth in the Agreement if the same is not cured within thirty (30) days following receipt of written notice thereof; provided, however, that it shall not be an Event of Default by UnitedLayer if such failure is capable of cure and UnitedLayer commences to cure such failure within said 30 days and thereafter diligently prosecutes the curing thereof. Upon the occurrence of an Event of Default by UnitedLayer, Customer may terminate the Agreement upon ten (10) days’ notice.
