EVENT OF WITHDRAWAL DEFINED. For purposes of this Agreement, an Event of Withdrawal shall include the occurrence of any event set forth in Section 14-9-602 of the Act upon compliance with any notification requirements imposed by the Act. A voluntary withdrawal by a General Partner will not be in violation of this Agreement provided the General Partner provides written notice to Limited Partners holding 2/3 or more of the Partnership Units held by Limited Partners at least 10 days in advance of such withdrawal.
