Events Causing Dissolution. The Company shall be dissolved upon the first of the following events to occur: (a) December 31, 2056; (b) The written consent of all Members (Voting and Non-Voting) at any time to dissolve and wind up the affairs of the Company; (c) The death, retirement, resignation, expulsion, bankruptcy or dissolution of a Member or the occurrence of any other event that terminates the continued membership of a Member in the Company, unless there are at least two remaining Members and the business of the Company is continued by the consent of all remaining Members (Voting and Non-Voting) within 10 days following the occurrence of any such event; or (d) The occurrence of any other event that causes the dissolution of a limited liability company under the Act.
