Common use of Events Causing Termination Clause in Contracts

Events Causing Termination. The Company shall be terminated and its affairs wound up on the first to occur of the following: (a) the Retirement of a Manager unless the business of the Company is continued as provided in Article XIV; or (b) the election to dissolve the Company made in writing by all the Members; or (c) the sale or other disposition of all or a substantial part of the assets of the Company; or (d) any other act or event causing a dissolution under the Act.

Events Causing Termination. The Company shall be terminated dissolved and its affairs shall be wound up on upon the first to occur occurrence of either of the following: (ai) termination hereof by the Retirement of a Manager unless the business of the Company is continued as provided in Article XIVMember; or (bii) the election to dissolve the Company made in writing by all the Members; or (c) the sale or other disposition occurrence of all or a substantial part any of the assets events set forth in Section 11.051 of the Act that affects the Member and thereby results in the dissolution of the Company; or (d) any other act or event causing a dissolution under the Act.
