Events of Breach. The occurrence of any one or more of the following events shall constitute a breach of this Agreement: 9.1.1 any party violates any material provision hereof or fails to perform in any material respect its obligations hereunder, and such breach or nonperformance has not been remedied for a period of 15 days after receipt of written notice from another party requesting such remedy; or 9.1.2 any representation or warranty made by any party herein shall prove to have been false or misleading in any material respect.
