Common use of Events of Dissolution or Liquidation Clause in Contracts

Events of Dissolution or Liquidation. The Company shall be dissolved and its affairs wound up upon the happening of either of the following events: (a) the written determination of the Member or (b) the entry of a decree of judicial dissolution under Section 18-802 of the Act.

The Company shall be dissolved and its affairs wound up upon the happening of either any of the following events: : (ai) the written determination Consent of the Member or Board of Managers; (bii) a Liquidation Event; or (iii) the entry of a decree of judicial dissolution under Section 18-802 of the Company under the Act. Following any of the foregoing events, the Board of Managers shall proceed diligently to liquidate the assets of the Company in a manner consistent with commercially reasonable business practices.

The Company shall be dissolved and its affairs wound up upon the happening of either any of the following events: (a) the written determination of the Member Member, (b) when the period fixed for the duration of the Company in Section 2.4 expires, (c) if the Company fails to have at least one member, (d) upon the administrative dissolution under Section 48-2c-1207, or (be) the entry of a decree of judicial dissolution under Section 1848-802 2c-1213 of the Act.

Events of Dissolution or Liquidation. The Company shall be dissolved and its affairs wound up upon the happening of either any of the following events: (a) the written determination unanimous consent of the Members, (b) the termination of the legal existence of the last remaining Member of the Company or the occurrence of any other event which terminates the continued membership of the last remaining Member of the Company in the Company unless the business of the Company is continued in a manner permitted by this Agreement or the Act, or (bc) the entry of a decree of judicial dissolution under Section 18-802 of the Act.
