EVENTS OF TERMINATION; DISBURSEMENT OF DEPOSIT. (a) Failure to Close without Fault. In the event that (i) each of the parties hereto shall have satisfied in full all of the obligations of such party under this Agreement which were to have been satisfied by such party prior to the Closing Date and shall not have breached any representation, warranty, covenant or agreement of such party contained in this Agreement, which breach has a material adverse effect upon the other party, but (ii) the closing shall nevertheless fail to take place (without any fault on the part of any party) prior to the Termination Date because one or more conditions to the closing in Sections 7,8, 9 and 10 hereof shall not have been satisfied or waived, this Agreement shall terminate, and the Deposit, together with any interest earned thereon, shall be returned to Purchaser.
