Common use of Events of Termination Clause in Contracts

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 6): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (c) for cause (as defined in Section 6.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 65): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.25.2) immediately upon notice from either party to the other; (c) for cause (as defined in Section 6.35.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.45.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section Article 6): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other); (c) for cause (as defined in Section 6.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify, unless otherwise provided in Section 6.3; or (d) for good reason (as defined in Section 6.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 65): (ai) upon the death of the Executive; (bii) upon the disability of the Executive (as defined in Section 6.25.2) immediately upon notice from either party to the other; (ciii) for cause (as defined in Section 6.35.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (div) for good reason (as defined in Section 6.45.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination. Events of Termination. The Employment Period, the Executive's ’s Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer Company will terminate (except as otherwise provided in this Section 6): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (c) for cause (as defined in Section 6.3), immediately upon notice from the Employer Company to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.4) upon not less than thirty days' (30) days prior notice from the Executive to the EmployerCompany.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 6): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (c) for cause Cause (as defined in Section 6.3), immediately upon such notice from the Employer to the Executive, or at such later time ,as such notice may specify; oris specified in Section 6.3; (d) for good reason Good Reason (as defined in Section 6.4) upon not less than thirty days' prior such notice from the Executive to the EmployerEmployer as is specified in Section 6.4; or (e) following a Change of Control (as defined in Section 6.5), upon such notice from Executive to Employer as is specified in Section 6.5.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 65): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.25.2) immediately upon notice from either party to the other; (c) for cause (as defined in Section 6.35.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.45.4) upon not less than thirty days' prior notice from the Executive to the Employer. In addition to the other termination provisions of this Agreement, Employer may terminate the Employee’s employment without Cause at any time.

Events of Termination. The Employment Period, the Executive's ’s Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 6): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (c) for cause (as defined in Section 6.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.4) upon not less than thirty days' ’ prior notice from the Executive to the Employer.

The Employment Period, the Executive's Basic Compensation and Incentive ’s Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 65): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.25.2) immediately upon notice from either party to the other; (c) for cause upon dismissal For Cause (as defined in Section 6.35.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason upon notice For Good Reason (as defined in Section 6.45.4) upon not less than thirty days' ’ prior notice from the Executive to the Employer. In addition to the other termination provisions of this Agreement Employer may terminate the Employee’s employment without Cause at any time.

Events of Termination. The Employment Period, the Executive's ’s Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 6): (aA) upon the death of the Executive; (bB) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (cC) for cause (as defined in Section 6.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (dD) for good reason (as defined in Section 6.4) upon not less than thirty days' ’ prior notice from the Executive to the Employer. (E) upon the happening of an extraordinary event (as defined in Section 6.5) unless the Executive shall otherwise agree in writing with the Employer.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 6): (aA) upon the death of the Executive; (bB) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (cC) for cause (as defined in Section 6.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (dD) for good reason (as defined in Section 6.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination. The Employment Period, the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or otherwise as an employee of the Employer will terminate (except as otherwise provided in this Section 6): (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either party to the other; (c) for cause (as defined in Section 6.3), at the option of the Employer, immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination. The Employment Period, Period and the Executive's Basic Compensation and Incentive Compensation, and any and all other rights of the Executive under this Agreement or of otherwise as an employee of the Employer will terminate (except excepts as otherwise provided in this Section 6):). (a) upon the death of the Executive; (b) upon the disability of the Executive (as defined in Section 6.2) immediately upon notice from either wither party to the other; (c) for cause (as defined in Section 6.3), immediately upon notice from the Employer to the Executive, or at such later time as such notice may specify; or (d) for good reason (as defined in Section 6.4) upon not less than thirty days' prior notice from the Executive to the Employer.

Events of Termination.
