Common use of Evidence of Assignment; Endorsement on Certificate Clause in Contracts

Evidence of Assignment; Endorsement on Certificate. Any assignment of any Undivided Interest (or portion thereof) to any Person may be evidenced by an instrument of assignment in the form of Exhibit 12.05 or by such other instrument(s) or document(s) as may be satisfactory to Purchaser, the Administrative Agent and the assignee. Purchaser authorizes the Administrative Agent to, and the Administrative Agent agrees that it shall, endorse the Certificate of Assignments to reflect any assignments made in accordance with this Article XII or otherwise.

Purchaser hereby authorizes the Administrative Agent to, and the Administrative Agent agrees that it shall, endorse the Certificate of Assignments to reflect any assignments made in accordance with pursuant to this Article XII XI or otherwise.
