Common use of Evidence of Compliance of Amendment, Supplement or Waiver to Be Furnished Trustee Clause in Contracts

Evidence of Compliance of Amendment, Supplement or Waiver to Be Furnished Trustee. In addition to the documents required by Section 18.05, the Trustee shall receive an Officer’s Certificate and an Opinion of Counsel as conclusive evidence that any amendment, supplement or waiver executed pursuant hereto complies with the requirements of this Article 10, is permitted or authorized by this Indenture and is the legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms.

In addition to the documents required by Section 18.0519.05, the Trustee shall receive and may rely on an Officer’s Officers’ Certificate and an Opinion of Counsel as conclusive evidence that any amendment, supplement or waiver to this Indenture executed pursuant hereto complies with the requirements of this Article 10, 10 and is permitted or authorized by this Indenture and it is the legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms.

In addition to the documents required by Section 18.0517.06, the Trustee shall receive and shall be entitled to conclusively rely on an Officer’s Officers’ Certificate and an Opinion of Counsel as conclusive evidence that any amendment, supplement or waiver to this Indenture executed pursuant hereto complies with the requirements of this Article 10, is permitted or authorized by this Indenture Indenture, that all related conditions have been complied with and it is the legal, valid and binding obligation of the Company, enforceable against the Company in accordance with its terms.
