The entitlement of any Eligible Voter to attend a meeting is subject to the notification stated under provisions contained in article 83-sexies, first paragraph, of the Italian Financial Act. A holder of a Note (whether in definitive form or represented by a Bearer Global Note) may require the issue by a Paying Agent of Voting Certificates and Voting Instructions in accordance with the terms of paragraph 5 below. For the purposes of paragraph 4 below, the Paying Agent shall be entitled to rely, without further enquiry, on any information or instructions received from a Clearing System and shall have no liability to any Noteholder or other person for any loss, damage, cost, claim or other liability occasioned by its acting in reliance thereon, nor for any failure by a Clearing System to deliver information or instructions to the Paying Agent.
