The Seller shall deliver a file-stamped copy, or other evidence satisfactory to the Purchaser Purchaser, of each such filing, to the Purchaser on or prior to the Closing such Lease Purchase Date.

On or prior to the Closing related Subsequent Transfer Date, the Seller shall record and file, at its own expense, a UCC-1 financing statement in each jurisdiction in which required by applicable law, executed by the Seller, as seller or debtor, and naming the Purchaser, as purchaser or secured party, describing naming the Additional Receivables and the other property included in the Owner Trust Estate as collateralconveyed thereunder, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the sale, transfer, assignment and conveyance of such Additional Receivables to the Purchaser. The Seller shall deliver a file-stamped copy, or other evidence satisfactory to the Purchaser of such filing, to the Purchaser on or prior to the Closing related Subsequent Transfer Date.

On or prior to the Closing Date, the The Seller shall record have recorded and filefiled, at its own expense, a UCC-1 financing statement in each jurisdiction in which filing is required by applicable law, executed by the Seller, as seller or debtorof the Contracts, and naming the Purchaser, as purchaser or secured partyof the Contracts, and the Collateral Agent, as assignee, describing the Receivables Contracts and the other property included in the Owner Trust Estate as collateralconveyed hereunder, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the sale, transfer, assignment and conveyance of such Receivables Contracts to the Purchaser. The Seller shall deliver to the Purchaser, the Collateral Agent, the Indenture Trustee and the Deal Agent a file-stamped copy, or other evidence satisfactory to the Purchaser and the Deal Agent of such filing, to the Purchaser on or prior to the Closing Date.
