Common use of EVNEXUS Indemnity Clause in Contracts

EVNEXUS Indemnity. EVNEXUS agrees to defend, indemnify and hold you harmless, from and against any and all third party claims, actions, losses, damages, liability, costs and expenses (including, without limitation, reasonable attorneys’ fees and disbursements incurred by You in any action) arising out of or in connection with EVNEXUS negligence or willful misconduct in connection with breach of any of its representations, warranties or obligations set forth in this agreement provided that You promptly notify EVNEXUS in writing of any such claim and promptly tender the control of defense and settlement of any such claim to EVNEXUS at its expense and with its choice of counsel.
