Examination of Custodian Files; Copies. (a) Upon reasonable prior written notice to the Custodian, the Company, the Collateral Agent and the Purchase Money Notes Guarantor and their respective agents, accountants, attorneys and auditors, and any other Persons designated by the Company, the Collateral Agent or the Purchase Money Notes Guarantor, as applicable, in writing as authorized to access and review the Custodial Documents, shall be permitted during normal business hours to examine the Custodial Documents. (b) Upon the request of the Company, the Collateral Agent or the Purchase Money Notes Guarantor, and at the cost and expense of the requesting party, the Custodian shall provide copies of any requested Custodial Documents; provided, however, the requesting party shall reimburse the Custodian for the actual, reasonable and customary costs incurred in providing copies of such Custodial Documents.
