Exception for Employee Sales. Notwithstanding any provision of this Agreement to the contrary, nothing in this Agreement shall prohibit any GEI Party from (a) selling shares of Common Stock to the Company in connection with a substantially contemporaneous sale of the same number of shares by the Company to employees (including officers) of the Company or any of its Subsidiaries or (b) selling shares of Common Stock directly to employees (including officers) of the Company or any of its Subsidiaries; provided, that the aggregate number of shares of Common Stock sold by the GEI Parties pursuant to clauses (a) and (b) shall not exceed 2,000,000 shares. For purposes of this Agreement, any sale of Common Stock complying with the terms of this Section 1.7 is hereinafter called an "Employee Sale."
