Exception to Eligible Offering. The Equity Holders shall not have any preemptive rights under this Section 3 to purchase any of the following securities issued by the Company: (i) Warrant Shares; (ii) securities issued in connection with any Stock Dividend or Stock Subdivision; (iii) securities issued upon the exercise or conversion of Options and Convertible Securities outstanding on the date hereof, other than Incentive Stock Plan Pool Shares; (iv) Incentive Stock Plan Pool Shares; and (v) securities issued in connection with a Qualified Public Offering.
