Exceptions to Definition of Confidential Information. The obligations of the Parties to treat any information as proprietary and confidential under this Article VII shall not apply to information which (i) is publicly available, (ii) is developed by the Default Specialist or the Firm outside the scope of this Agreement or any agreement with a Client, or (iii) is obtained rightfully from third parties not bound by an obligation of confidentiality.

The Unless the Client has requested the information be held in confidence and the Firm has a reasonable belief that the disclosure would not be embarrassing or detrimental to the Client, the obligations of the Parties to treat any information as proprietary and confidential under this Article VII shall not apply to information which (i) is publicly available, (ii) is developed by the Default Specialist Service Provider or the Firm outside the scope of this Agreement or any agreement with a Client, or (iii) is obtained rightfully from third parties that is not bound bound, to the knowledge of the receiving party, by an obligation of confidentiality.
