Common use of Exceptions to Obligation Clause in Contracts

Exceptions to Obligation. Notwithstanding this Section 11, either party may disclose Confidential Information to the extent required by law, provided the other party uses commercially reasonable efforts to give the party owning the Confidential Information sufficient notice of such required disclosure to allow the party owning the Confidential Information reasonable opportunity to object to and to take legal action to prevent such disclosure.

Notwithstanding this Section 118.1 (Obligation), either party may disclose Confidential Information to its affiliates, and to the extent required by lawlaw or regulation, including any Court order or legal process, or by any governmental or other regulatory authority or self-regulatory authority, provided the other receiving party (to the extent legally permissible) uses commercially reasonable efforts to give the party owning the Confidential Information sufficient notice of such required disclosure to allow the party owning the Confidential Information reasonable opportunity to object to and to take legal action to prevent such disclosure.
