Excess Retirement Benefit Plan. Agilent shall retain and be solely responsible for all Liabilities under, or relating to, or arising from, the Agilent Excess Retirement Benefit Plan with respect to each Verigy Transferred Employee and other Verigy Employee. As soon as practicable after the Distribution Date, Verigy Transferred Employees and other Verigy Employees who are eligible to receive their vested accrued benefit under the Agilent Excess Retirement Benefit Plan may elect to take such a distribution from such plan, pursuant to the terms thereof and consistent with the requirements of Section 409A of the Code.
