Exchange Affiliation Clause Samples

The Exchange Affiliation clause defines the relationship between the parties and any securities or commodities exchanges with which they are associated. It typically requires parties to disclose whether they, or their affiliates, are members of or have significant ties to specific exchanges. For example, a party may need to state if it is a member of the New York Stock Exchange or has a controlling interest in an exchange participant. This clause ensures transparency regarding potential conflicts of interest and helps both parties assess regulatory or operational risks related to exchange membership or affiliation.

  • FINRA Affiliation There is no (i) officer or director of the Company, (ii) beneficial owner of 5% or more of any class of the Company’s securities or (iii) beneficial owner of the Company’s unregistered equity securities which were acquired during the 180-day period immediately preceding the filing of the Registration Statement that is an affiliate or associated person of a FINRA member participating in the Offering (as determined in accordance with the rules and regulations of FINRA).

The Company will advise the Representative and its counsel if it learns that any officer, director or owner of at least 5% of the Company's outstanding Common Stock is or becomes an affiliate or associated person of an NASD member participating in the offering.

  • No FINRA Affiliations There are no affiliations or associations between any member of FINRA and any of the Company’s officers, directors or 5% or greater securityholders.
