Common use of Exchange and Registration of Transfer of Securities Clause in Contracts

Exchange and Registration of Transfer of Securities. (a) Registered Securities of any series may be exchanged for a like aggregate principal amount of Registered Securities of other authorized denominations and of like tenor and terms of the same series. Registered Securities to be exchanged shall be surrendered at the office or agency to be maintained by the Company pursuant to Section 3.02 in each Place of Payment for such series of Registered Securities, and the Company shall execute and cause to be registered, and the Trustee shall authenticate and deliver in exchange therefor, the Registered Security or Securities which the Securityholder making the exchange shall be entitled to receive. In no event may Registered Securities, including Registered Securities received in exchange for Bearer Securities, be exchanged for Bearer Securities.
