Common use of Exchange of Confirmations Clause in Contracts

Exchange of Confirmations. For each Transaction entered into hereunder, Party A shall promptly send to Party B a Confirmation, via mail, facsimile, email or electronic transmission. Party B agrees to respond to such Confirmation within two (2) Local Business Days, either confirming agreement thereto or requesting a correction of any error(s) contained therein. Failure by Party B to respond within such period shall not affect the validity or enforceability of such Transaction and shall be deemed to be accepted and correct, absent manifest error. The parties agree that any such mail, facsimile, email or electronic transmissions shall constitute a Confirmation for all purposes hereunder.
