Common use of Exchange of Shares and Other Consideration Clause in Contracts

Exchange of Shares and Other Consideration. Shareholders agree to assign, transfer and deliver to Parent all right, title and interest in and to all of the outstanding shares of common stock of the Company ("Company Common Stock") in exchange for the Exchange Consideration (as defined below) which Parent hereby agrees to pay, assign, transfer and deliver to the Shareholders in accordance with this Agreement, and among them in proportion to the number of shares of Company Common Stock owned by the Shareholders and assigned to Parent by the Shareholders as set forth in Exhibit 1.1 hereto.
