Common use of Exchange Offer Documents Clause in Contracts

Exchange Offer Documents. As soon as practicable after the Commitment Date, the REIT shall prepare the Registration Statement covering the resale of shares of REIT Stock to be offered in the Exchange Offer, which will comply in all material respects with the provisions of applicable federal and state securities laws, and will prepare the Letter of Transmittal and a Custody Agreement appointing MTP the Transferor Partners' Custodian to make deliveries for the Transferor Partners at the Closing (the Registration Statement, the Letters of Transmittal and the Custody Agreement, together with any supplements or amendments thereto, are referred to herein collectively as the "Exchange Offer Documents").
