Common use of Exchange Shares Clause in Contracts

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock for 1 share of Series A Preferred stockStock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 2,875,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 57,500 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 2,875,000 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 5,125,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 102,500 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 5,125,000 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 111,897 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 2,238 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 111,897 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 5,000,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 100,000 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 5,000,000 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 266,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 5,320 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 266,000 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 137,500 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 2,750 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 137,500 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A Stock at a rate of 50 shares of Common Stock stock for 1 share of Series A Preferred stock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 2,000,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 40,000 shares of Series A Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 2,000,000 shares of Common Stock.

Exchange Shares. All Common Stock shall be exchanged for Series A D Stock at a rate of 50 250 shares of Common Stock for 1 share of Series A D Preferred stockStock. In accordance therewith, the Holder shall deliver to the Issuer one or more stock certificates representing the 56,250,000 200,000,000 shares of Common Stock held by the Holder, properly endorsed for transfer, and the Issuer shall deliver to the Holder a stock certificate representing 1,125,000 800,000 shares of Series A D Stock (the "Exchange Shares") in exchange (the "Exchange") for the Holder's 56,250,000 200,000,000 shares of Common Stock.
