Excluded Action or Omissions. Any other provision herein to the contrary notwithstanding, the Company shall not be obligated to indemnify or advance Expenses to Indemnitee with respect to Proceedings or claims arising out of acts, omissions or transactions for which Indemnitee is prohibited from receiving indemnification under applicable law.
