Excluded Assets or Excluded Liabilities. Each of the Seller Parties and Buyer expressly understand and agree that, other than the Purchased Assets and Assumed Liabilities, the Seller Parties are not selling, conveying, delivering, transferring or delivering and Buyer is not buying, receiving, assuming, or otherwise agreeing to be liable in any manner for, any Excluded Assets or any Excluded Liabilities and such Excluded Assets and Excluded Liabilities shall be retained by the Seller Parties.
