Excluded Matters. Notwithstanding Section 4.1, the Trustee shall not be entitled to exercise any Voting Rights in connection with any proposal submitted to the shareholders of the Parent at a Parent Meeting (each, an "Excluded Matter"): (a) where the Investors would be restricted from voting by applicable law, including the requirements, if applicable, of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions; or (b) in respect of any amendment, waiver, renewal or replacement of the Parent's Shareholder Rights Plan.
