Notwithstanding anything herein or in any other Loan Document to the contrary, if the Borrower or any Subsidiary is subject to any investigation, review or proceeding by any Governmental Authority and the Borrower or such Subsidiary is prohibited by applicable Law from disclosing the existence of such investigation, review or proceeding to the Administrative Agent, L/C Arranger or any Lender, then:
