Exclusion of Private Placement Warrants. None of the Private Placement Warrants will be redeemable by the Company so long as they are held by the Sponsor or its permitted transferees. Private Placement Warrants that are transferred to persons other than Permitted Transferees shall upon such transfer cease to be Private Placement Warrants and shall become Public Warrants under this Agreement.
