Exclusions and Clarifications Clause Samples
The Exclusions and Clarifications clause defines which matters, liabilities, or obligations are specifically not covered by the agreement and provides additional explanations to prevent misunderstandings. In practice, this clause may list certain types of damages, events, or responsibilities that are expressly excluded from the contract, and clarify ambiguous terms or scenarios to ensure both parties have a shared understanding. Its core function is to limit the scope of the agreement and reduce the risk of disputes by clearly stating what is not included and resolving potential ambiguities.
