Exclusions List. Neither AstraZeneca nor any of its Affiliates or any of its or their respective employees involved in the Product Business are on the Exclusions List of the Office of Inspector General, U.S. Department of Health & Human Services.
Exclusions List. Horizon shall not use (and shall cause its Affiliates not to use) any Person (including any employee, officer, director, Sublicensee or Third Party contractor or distributor) who is (or has been) on the Exclusions List of the Office of Inspector General, U.S. Department of Health & Human Services, or who is (or has been) in violation of the terms hereof in connection with the Manufacture or Exploitation of Products or Other Products. Horizon certifies to AstraZeneca that, as of the Effective Date, Horizon has screened itself, and its officers and directors (and its Affiliates, Sublicensees and Third Party contractors and distributors and their respective officers and directors) against the Exclusions List of the Office of Inspector General, U.S. Department of Health & Human Services and that it has informed AstraZeneca whether Horizon, or any of its officers or directors (or any of its Affiliates, Sublicensees or Third Party contractors or distributors or any of their respective officers and directors) has been in violation of the terms hereof in connection with the performance of any activities hereunder. After the execution of this Agreement, Horizon shall promptly notify AstraZeneca in writing if any such violation comes to its attention.

Buyer shall not use (and shall cause its Affiliates not to use) any Person (including any employee, officer, director, Sublicensee or Third Party contractor or distributor) who is (or has been) on the Exclusions List of the Office of Inspector General, U.S. Department of Health & Human Services, or who is or has been in violation of the terms hereof in connection with the performance of any activities hereunder. Buyer certifies to Seller that, as of the Effective Date, Buyer has screened itself, its officers and directors, and its Affiliates, Sublicensees and Third Party contractors and distributors and their respective officers and directors, against the Exclusions List of the Office of Inspector General, U.S. Department of Health & Human Services and that it has informed Seller whether Buyer or any such other Person has been in violation of the terms hereof in connection with the performance of any activities hereunder. Buyer shall promptly notify Seller in writing if any such violation occurs or comes to its attention during the Term.

Each Party certifies to the other Party that, as of the Effective Date, such Party has screened itself, and its officers and directors against the Exclusions List of the Office of Inspector General, U.S. Department of Health & Human Services.
Exclusions List. Published Works listed in the Exclusions List are not covered by this licence. Upon execution of this licence, the Collectives shall deliver an electronic copy of the Exclusions List to the Licensee. If the Collectives subsequently make changes to the Exclusions List during the term of this licence they shall immediately deliver a date‐stamped electronic copy matching the date the Collectives changed the Exclusion List on Access Copyright’s website. The updated Exclusions List will be emailed to the Licensee. If in the reasonable view of either party, changes to the Exclusions List materially increase or lessen the value of the licence, either party may notify the other. The parties will use their best efforts to resolve any dispute concerning the change in value and neither party shall commence an application to the Copyright Board or commence any other legal proceeding until first having engaged in good faith negotiation.
Exclusions List. (a) The list of Published Works contained in Schedule “B” and Published Works published outside the countries listed in the preamble to Schedule “B” are excluded from this Licence.

Letter of Understanding re: Severance Pay Between *Halifax Regional Centre for Education and Nova Scotia Government & General Employees Union This Letter is to confirm the understanding reached in bargaining between the parties as follows: Subject to funding over and above regular funding being provided by the Provincial government for a severance program, the Employer agrees that the following replaces Article 23.08 and 23.09 of the Agreement:
