Common use of Exclusions to Indemnity Clause in Contracts

Exclusions to Indemnity. The Corporation will not be obligated under this Agreement to indemnify or reimburse the Indemnified Party: (a) in respect to which the Indemnified Party may not be relieved of liability under the CBCA or otherwise at law; or (b) to the extent that Section 16 of the U.S. Securities Exchange Act of 1934 is applicable to the Corporation, for expenses or the payment of profits arising from the purchase and sale by the Indemnified Party of securities in violation of Section 16(b) of the U.S. Securities Exchange Act of 1934, as amended, or any similar successor statute; or (c) with respect to any Claims initiated or brought voluntarily by the Indemnified Party without the written agreement of the Corporation, except with respect to any Claims brought to establish or enforce a right under this Agreement or any other statute, regulation, rule or law.
