Common use of Exclusive Dispute Resolution Mechanism Clause in Contracts

Exclusive Dispute Resolution Mechanism. The Parties agree that the procedures set forth in this Article 12 shall be the exclusive mechanism for resolving any dispute, controversy, or claim (collectively, “Disputes”) between the Parties that may arise from time to time pursuant to this Agreement relating to any Party’s rights and/or obligations hereunder that cannot be resolved through good faith negotiation between the Parties.

The Parties agree that the procedures set forth in this Article 12 shall be the exclusive mechanism for resolving any dispute, controversy, or claim between the Parties that arises out of or in connection with this Agreement, including without limitation any issues regarding its existence, validity, or termination (collectively, “Disputes”) between the Parties that may arise from time to time pursuant to this Agreement relating to any Party’s rights and/or obligations hereunder that canis not be resolved through the JSC (to the extent within the jurisdiction of the JSC under Section 4.1) or other good faith negotiation between the Parties.

The Parties and Guarantors agree that the procedures set forth in this Article 12 Section 15 shall be the exclusive mechanism for resolving any disputedisputes, controversy, controversies or claim claims (collectively, “Disputes”) between the Parties and/or Guarantors that may arise from time to time pursuant to this Agreement relating to any Party’s or Guarantor’s rights and/or obligations hereunder that cannot be resolved through good faith negotiation between the PartiesParties or Guarantors.
