Exclusive Financial and Investment Banking Advisor. During the period from and including the date hereof through and including the fifth anniversary of the date hereof, Xxxxxxxxx, Xxxxxx & Xxxxxxxx Securities Corporation ("DLJSC"), or any Affiliate of DLJSC that the LLC may choose in its sole discretion, shall be engaged as the exclusive financial and investment banking advisor of the Company.
